1. Who this agreement is between
These terms are between Cardify Spend (“Cardify”, “we”, “us”), a business based in Ontario, Canada, and the organisation that creates an account on Discover (“you”, the “buyer”). The person who creates the account confirms that they are authorised to accept these terms on behalf of that organisation, and that the organisation is a business, not a consumer.

By creating an account, ticking the acceptance box at sign-up, or using Discover, you agree to these terms and to the Privacy Policy, which forms part of this agreement. This is version 2026-09-24 of the terms. If you do not agree, do not use the service.
2. The service
Discover, at discover.cardifyspend.com, helps you pay your suppliers by commercial card. You supply your supplier list by uploading a file (often an accounts payable export) or by connecting QuickBooks Online. Discover matches each supplier against commercial-card acceptance data from Visa and Mastercard, ranks the suppliers by how likely they are to accept card payment, and lets you send the suppliers you choose an offer to be paid by commercial card on terms you set. When a supplier accepts, you can pay that supplier’s invoices by card through Stripe.
You decide which suppliers to approach, what terms to offer, and which invoices to pay. Cardify does not choose suppliers for you, does not make payments without your instruction, and does not guarantee that any supplier will accept an offer.
Suppliers do not hold an account with Cardify. A supplier who accepts an offer onboards to Stripe Connect as a connected account and is the merchant of record for every payment it receives. Stripe holds the supplier’s identity and bank details; Cardify never sees them. Cardify is not a party to the contract between you and your supplier for the underlying goods or services, and nothing in Discover changes that contract or the invoice it produced.
Cardify may change or withdraw features of the service. Where a change removes something you rely on, we give you notice in the application before it takes effect.
3. Fees
The first ten supplier acceptances are free for the life of your organisation. Each further acceptance is $10, billed monthly to the commercial card saved in Settings. A supplier counts once: a supplier who accepts in one campaign and again in another is one acceptance, charged once. The price in force when a supplier accepts is the price you are charged for that supplier.
Fees are stated in Canadian dollars unless we say otherwise, and are subject to 13% HST and any other tax the law requires us to collect. Buyers in the United States are billed in US dollars where we offer it, at the price shown in Settings when the acceptance is recorded. At the close of each month Cardify issues one invoice for that month’s chargeable acceptances and charges it to the card saved in Settings. If no card is saved, sending further offers is paused once the free allowance is used until a card is added.
Suppliers pay a flat platform fee of 1.5% of each card payment they receive through Discover. The fee is collected as a Stripe application fee and deducted from the supplier’s payout before settlement. It is shown to the supplier when they accept an offer and on each payment. The supplier’s other costs of accepting cards are set by the supplier’s agreement with Stripe.
If a monthly charge fails, we tell you in the application and by email and retry the card. You have seven days from the first failure to pay or save a working card. After that grace period the account becomes read-only: you can sign in, view your data and update the card, but cannot send offers or make payments until the balance is paid. Fees that have accrued remain payable.
Cardify may change its prices on 30 days notice in the application and by email. A price change does not affect acceptances recorded before it takes effect.
4. Payments to suppliers
When you pay a supplier by card through Discover, the payment is processed by Stripe. The supplier is the merchant of record for that payment. Cardify does not hold your funds or the supplier’s funds. The supplier’s cost of accepting the card, and its settlement to the supplier’s bank account, are set by the supplier’s agreement with Stripe. Your card details are entered on a page Stripe hosts and never reach Cardify.
Each supplier who accepts an offer agrees to the Stripe Connected Account Agreement, which includes the Stripe Services Agreement, when they onboard. Chargebacks and disputes on a supplier payment sit between you and the supplier under that agreement and the card network rules. If you dispute a charge with your card issuer, the supplier answers the dispute through Stripe and bears any chargeback that succeeds. Cardify is not a party to the underlying goods or services and does not decide disputes, issue refunds on a supplier’s behalf, or guarantee that a refund will be given.
A refund is agreed between you and the supplier. Where the supplier issues one, it is returned to the card that made the payment through Stripe. The Cardify platform fee on the refunded amount is returned to the supplier in the same transaction.
You are responsible for the payments you instruct. Before confirming a payment, check the supplier, the invoice reference and the amount. Cardify cannot reverse a payment that Stripe has captured.
5. Supplier data and the card networks
To tell you which suppliers accept commercial cards, Cardify sends each supplier’s business name, business address, country and phone number to Visa and Mastercard and reads back what they know about that business. Cardify does this only after you record your consent in the application. Cardify never sends what you pay a supplier: no invoice amounts, payment dates, bank details or card numbers. You confirm that you have the right to share your supplier list for this purpose. Cardify uses what comes back only to find and enable card payments for you, caches it for 30 days, refreshes it monthly, keeps it no longer than the networks’ terms allow, and does not build a product out of your supplier list. Visa may use what Cardify sends to improve its own products and services; that is a term of Visa’s platform.
The acceptance result the networks return is an estimate, not a guarantee. It is shown to you with its date and source. A supplier marked as accepting cards may still decline your offer, and a supplier marked as not accepting may still accept. Your decision to approach a supplier is your own. You can withdraw your consent to the network lookups at any time in Settings; from then on Cardify stops sending supplier data to the networks and uses only what it has already cached until it expires.
Your use of the network data is limited to deciding which of your own suppliers to approach and pay through Discover. You may not resell it, use it to build a list or database, or share it outside your organisation.
6. Your responsibilities
- Keep your sign-in details private and tell us if you think an account has been misused.
- Only upload data you are entitled to use for this purpose, and only about suppliers you have a business relationship with.
- Only send offers to suppliers you have a business relationship with, and honour a supplier who asks not to be contacted.
- Keep a valid commercial card saved in Settings while you have chargeable acceptances.
- Use the service only for paying your own suppliers for genuine business purchases, not for cash advances, personal expenses or payments to yourself or a related party without a real invoice.
- Do not attempt to access another organisation’s data, probe or overload the service, or reverse engineer it.
- Comply with the law that applies to you, including anti-spam and privacy law, when you send offers and pay suppliers.
You are responsible for everyone you invite to your organisation and for what they do in it. If we tell you that a user or an upload breaks these terms, you fix it promptly.
7. Termination
Either party can end this agreement on 30 days written notice. You can close your account at any time from Settings, which counts as your notice. Closing it starts a seven-day cooling-off period, during which you can cancel the closure, after which the organisation and everything in it is erased, except records Cardify must keep to meet a legal obligation, such as billing records and the audit trail, which are kept for seven years. Fees already accrued remain payable and are charged on the final invoice.
Cardify may suspend your account immediately, without notice, where you misuse the service or supplier data, where fees remain unpaid after the seven-day grace period, or where the law or a card network requires it. We tell you the reason and lift the suspension once it is resolved. If it is not resolved within 30 days, Cardify may close the account.
On closure, offers still open with suppliers are withdrawn and the suppliers are told the offer is no longer available. Scheduled payments that Stripe has not yet captured are cancelled. Payments already captured settle to the supplier normally, and any dispute on them continues under the Stripe Connected Account Agreement.
Sections 4, 5, 8 and 10, and any fee that accrued before closure, survive termination.
8. Liability
Discover, including the acceptance data it shows about suppliers, is provided as is and as available. Cardify does not warrant that the acceptance data is complete, current or correct, that any supplier will accept an offer or a payment, that the service will be uninterrupted or free of errors, or that it meets your requirements. To the extent the law allows, Cardify excludes every implied warranty and condition, including merchantability and fitness for a particular purpose.
Cardify is not liable for any indirect, incidental, special, consequential or punitive loss, or for loss of profit, revenue, business, goodwill or data, however it arises and even if Cardify was told it was possible. Cardify is not liable for the acts of a supplier, for the goods or services a supplier provides, for a supplier’s failure to deliver, refund or answer a dispute, or for the acts of Stripe, Visa, Mastercard or your card issuer.
Cardify’s total liability to you for everything arising out of or connected with this agreement, whether in contract, tort (including negligence) or otherwise, is capped at the fees you paid to Cardify in the twelve months before the event giving rise to the claim. Nothing in this section limits liability for fraud, or for anything the law does not allow to be limited.
You indemnify Cardify against any claim, loss, fine or cost, including reasonable legal fees, arising from your misuse of supplier data, from an upload you were not entitled to make, from offers sent to a supplier you had no business relationship with or who had asked not to be contacted, or from your breach of section 6.
9. Changes to these terms
Cardify may update these terms. Each version carries a date; this one is version 2026-09-24. Material changes are announced in the application and by email at least 30 days before they take effect, and continuing to use the service after that date is acceptance of the new terms. If you do not accept a change, close your account before it takes effect and no further fees accrue. Minor changes, such as corrections and clarifications, take effect when posted.
10. Governing law
This agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict of law rules. The courts of Ontario have exclusive jurisdiction over any dispute arising out of or connected with it, and each party submits to that jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
This agreement, with the Privacy Policy, is the whole agreement between you and Cardify about Discover. If a court finds a term unenforceable, the rest stands. A failure to enforce a term is not a waiver of it. You may not assign this agreement without our written consent; Cardify may assign it to a successor of its business on notice to you.
